VRA Advises PSA on its Recapitalization with Dry Fly Capital
VRA is pleased to announce that PSA Worldwide, LLC and its
affiliated entities (collectively "PSA" or "the Company") have been acquired by
Dry Fly Capital, LLC ("Dry Fly"). Brighton Partners, LLC ("Brighton Partners")
and members of PSA's senior management team retained an ownership stake in PSA
as part of the transaction. Muzinich & Co. and Brush Creek Partners also
provided equity and debt financing to support the transaction. VRA acted as the
exclusive financial advisor to PSA. Terms of the transaction were not disclosed.
"We are thrilled with the outcome of this transaction,"
said Brighton Partners' Tom Horner.
"VRA's high-touch service model, transaction expertise and strong
understanding of PSA's value proposition were critical to helping us achieve
our desired outcome and find the right new owner to support the Company in its
next stage of growth."
PSA is a leading designer and distributor of educational
materials and promotional products for health and wellness prevention and
awareness campaigns. The Company's products help organizations address issues
such as sexual assault, domestic violence, child abuse, substance abuse and
mental health disorders. As these issues continue to persist in today's
society, customers place a high-level of importance on PSA's products to spread
awareness on topics that are highly impactful to their organizations and communities.
"The PSA team has grown and developed a phenomenal business
that has a meaningful impact on organizations, communities and individuals
around the world, including the men and women of our Armed Forces", said VRA
Director, Tyler McCrary. "We are excited to watch the Company's continued
success as it further expands its products, services and impact with the
support of Dry Fly."
